Reorganization Timeline

August 13, 2002

Comdisco announced today that its First Amended Plan of Reorganization became effective on August 12, 2002 and that the company has emerged from Chapter 11. The newly emerged company will be called Comdisco Holding Company, Inc.

July 16, 2001

Comdisco and 50 domestic U.S. subsidiaries filed voluntary petitions for relief under chapter 11 of the U.S. Bankruptcy Code in the U.S. Bankruptcy Court for the Northern District of Illinois.

Comdisco received binding commitments for a $600 million senior secured DIP financing facility led by Citibank, N.A. as Administrative Agent, The Chase Manhattan Bank as Syndication Agent, and Heller Financial, Inc. as Documentation Agent.  

August 10, 2001

The U.S. Bankruptcy Court for the Northern District of Illinois approved consensual bidding procedures proposed by Comdisco related to the proposed sale of Comdisco’s Availability Solutions (Technology Services) business.  

August 24, 2001

The U.S. Bankruptcy Court for the Northern District of Illinois gave final approval for $450 million in debtor-in-possession (DIP) financing for use by Comdisco to continue operations as normal, pay employees and purchase goods and services.

August 31, 2001

The U.S. Bankruptcy Court for the Northern District of Illinois approved bidding procedures for the potential sale of Comdisco’s leasing businesses, excluding its European leasing operations.

September 21, 2001

The Northern District of Illinois approved Comdisco’s request for an extension of the exclusive periods during which only Comdisco may file a plan of reorganization and solicit acceptances of that plan. These periods, which had been scheduled to expire on November 13, 2001 and January 15, 2002, were extended through January 15, 2002 and March 15, 2002, respectively.

November 9, 2001

The U.S. Bankruptcy Court for the Northern District of Illinois, Judge Ronald Barliant approved the sale of Comdisco’s Availability Solutions (Technology Services) business to Wayne, Pennsylvania-based SunGard Data Systems Inc. (NYSE: SDS) for $825 million.

SunGard and Comdisco announced the completion of the sale of Comdisco's Availability Solutions Business. 

November 29, 2001

The U.S. Bankruptcy Court for the Northern District of Illinois approved the company’s request for an extension of the exclusive periods during which only Comdisco may file a plan of reorganization and solicit acceptances for that plan. These periods, which had been scheduled to expire on January 15, 2002 and March 15, 2002, were extended to March 15, 2002 and May 15, 2002, respectively.  

December 21, 2001

The U.S. Bankruptcy Court continued the sale hearing for certain of its Leasing businesses, scheduled for December 20, 2001, to January 24, 2002. According to the procedures previously approved by the Court, all bids for the Leasing businesses must stay open until January 31, 2002.

January 14, 2002

Comdisco agreed to sell its Electronics and Laboratory & Scientific leasing businesses to GE Capital’s Commercial Equipment Financing unit for approximately $665 million, with future contingent payments based on various portfolio performance criteria. 

January 24, 2002

The U.S. Bankruptcy Court for the Northern District of Illinois approved the sale of the company’s Electronics and Laboratory & Scientific Leasing businesses to GE Capital’s Commercial Equipment Financing unit.  The sale is expected to close no later than March 31, 2002.

February 14, 2002 The U.S. Bankruptcy Court for the Northern District of Illinois approved the sale of substantially all of Comdisco's North American IT CAP (Information Technology Control and Predictability) Services contracts to Lisle-IL based T-Systems, Inc.  The sale is expected to close no later than February 28, 2002.
